By accessing and using the LeaseHappy® website (the “Site”) and any related services, you (“you,” “user,” or “dealer partner”) agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to all of these Terms, you must refrain from using the Site.

• “We,” “us,” “our” refers to LeaseHappy® and its affiliates.
   
• “Site” refers to LeaseHappy®’s website, any sub-domains, mobile versions, and related services.
   
• “Dealer Partner” means a licensed automobile dealer who has agreed to participate in the platform.
   
• “Content” includes text, graphics, images, videos, data, lease specials, offers or other material made available via the Site.
   

You agree to use the Site in compliance with all applicable laws and these Terms. You will not:

• Use the Site in any unlawful manner or for any unlawful purpose.
   
• Attempt to interfere with the Site’s operation or security features.
   
• Misrepresent your identity or your role as a Dealer Partner if you are not authorized.
   
• Upload or post Content that is inaccurate, misleading or violates third-party rights.
   

If you join as a Dealer Partner:

• You represent that you are a duly licensed automobile dealer in good standing.
   
• You grant us a limited, non-exclusive right to feature your lease specials and offers on the Site.
   
• You agree to provide accurate, up-to-date information and to comply with any additional guidelines provided by us.
   
• We retain discretion to approve or remove any dealer or offer from our Site at any time for any reason.
   

All content on the Site (excluding content uploaded or posted by Dealer Partners) is the property of LeaseHappy® or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may view and download content for personal, non-commercial use only (unless otherwise authorized). You may not reproduce, distribute, modify, create derivative works from, publicly display, or use any content for commercial purposes without our prior written consent.

The Site may contain links to third-party websites or resources. We do not control, endorse or assume responsibility for any third-party content, products, or services. Your use of such third-party links is at your own risk.

The Site and its Content are provided on an “as is” and “as available” basis. We do not guarantee that the Site will be uninterrupted, error-free or completely secure. We make no representations or warranties (express or implied) regarding the accuracy, reliability or completeness of any Content or any results you may achieve from it. In particular, while Dealer Partner participation may offer opportunities, we do not guarantee any specific volume of leads, lease transactions or business outcomes.

To the fullest extent permitted by applicable law, LeaseHappy® and its affiliates, officers, directors, employees, agents and licensors will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data or business opportunity, resulting from your use of the Site or from any Content on the Site.

You agree to defend, indemnify and hold harmless LeaseHappy®, its affiliates and licensors from and against any claims, liabilities, damages, losses or costs (including legal fees) arising out of or in any way connected with your violation of these Terms or your use of the Site.

We reserve the right to modify, suspend or discontinue the Site (or any part of it) at any time with or without notice. We may also revise these Terms from time to time. The “Last Updated” date above indicates the date of most recent revision. Your continued use of the Site after changes constitutes your acceptance of the updated Terms.

We may terminate or suspend your access to the Site or participation as a Dealer Partner at any time, for any reason, including without limitation if you violate these Terms. Upon termination your rights to use the Site will immediately cease.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall first be submitted to mediation in Orange County, California. If mediation fails, either party may pursue arbitration or court proceedings in Orange County, California.

If any provision of these Terms is found to be invalid or unenforceable under applicable law, such provision shall be struck and the remaining provisions shall remain in full force and effect.

These Terms constitute the entire agreement between you and LeaseHappy® concerning your use of the Site, superseding any prior agreements.
